BY LAWS ARTICLE I
The name of the club shall be the Foothills Ladies 9 Hole Association.
ARTICLE II Object
The object of the Foothills Ladies 9 Hole Golf Association, a nonprofit organization, shall be to promote good fellowship and interest in golf, to enable its members to enjoy organized competition and social activities, and to be a member of the Colorado Women's Golf Association (CWGA).
ARTICLE III Membership
Section 1. The Foothills Ladies 9 Hole offers equal access to all applicants who qualify. Membership in the Foothills Ladies 9 Hole shall be limited to 80 members.
Section 2. Application for membership shall be made to the Vice President accompanied by a current GHIN handicap or the equivalent of ten 9-hole scorecards on a USGA rated course. Scorecards from Par 3 courses are not acceptable.
Section 3. New members shall be added according to openings as follows: 1) former members in good standing; 2) waiting list applicants, with Foothills district applicants first, Jefferson County applicants second and out-of-district applicants third. Waiting lists will be maintained by the Vice-President.
Section 4. The membership year is from January 1 through December 31. The board of Directors shall establish annual dues which are payable by February 8th. New members shall pay an additional $5.00. Dues must be paid before members begin to play. Refunds shall not be given after the first scheduled play day.
Section 5. Members who need to cancel must notify the Tee-Time Chair by the previous Tuesday or the Pro Shop on the morning of play. Members having two “no shows” (i.e. not notifying of an intended absence on a play day) will be notified by the President that their memberships will be terminated after one more “no-show”. Notification of termination will be made by letter from the Secretary
ARTICLE IV Officers
Section 1. The officers of the Foothills Ladies 9 Hole are elected by a majority vote whether it be by ballot or voice vote. These officers shall be President, Vice-President, Secretary, Treasurer, Tee Time Chair, Social Chair, Historian, Prize Chair, Tournament Chair and Handicap Chair.
Section 2. The President shall appoint a nominating committee of at least 2 members. This nominating committee shall nominate at least one candidate for each office at least 45 days before the September elections. Elections shall be held the second week in September.
Section 3. Two weeks before the election, the Secretary shall post the lists of candidates for office in the clubhouse. Additional nominees may be added to the lists. Permission for each addition must be obtained from the nominee and the nominator must sign beside the nominee's name.
Section 4. Terms of office shall begin January 1 of the year following election.
Section 5. No member shall hold more than one office at a time and no member shall be eligible to serve more than three consecutive terms in the same office.
ARTICLE V Duties of Officers
Section 1. The President shall preside at all meetings; be an ex-officio member of all committees, except the Nominating and Audit Committees; work cooperatively with the Head Pro to develop and maintain functions; represent the organization at meetings of the CWGA; serve as head of the Rules Committee; be authorized to sign checks and authorize disbursements and ensure that the Foothills Ladies 9 Hole is a member in good standing with the State of Colorado by registering with the Secretary of State, yearly.
Section 2. The Vice-President shall assist the President, serve as Membership Chair and maintain a waiting list. Perform the duties of the President in her absence or at her request.
Section 3. The Secretary shall maintain a record of all meetings of the club and Board of Directors, read minutes of the previous meetings, prepare the membership letter for distribution at the January meeting, prepare the handbook for printing and distribution by the first day of orientation, handle all correspondence, issue formal notices of meetings, notify Board members of meetings, prepare ballots for the elections and transfer complete records to the successor.
Section 4. The office of the Treasurer shall be custodian of all Club funds held in the Club’s account. Be authorized to sign checks for authorized expenses. Present a written statement to the Board of Director’s at the Board’s meetings. Have books ready for audit by the end of January or at other times as directed by the Board of Director’s. The hole-in-One account shall be carried over to the next year if no one has made a hole-in-one in the current year. All bills must be given to the Treasurer by December 15 of the current year. The Treasurer must close the books by December 31. All funds must be disbursed during the season except for $100 which shall be carried over to the following year.
Section 5. The Handicap Chairperson shall determine flights for the Club, compute and post all handicaps as determined by the USGA Handicap System. She shall ensure that the membership be divided equally, as close as possible, among the flights. She shall be responsible for ensuring that all records and scores are post properly in the computer. She shall determine the most improved golfer using the most current listing from GHIN.
Section 6. The Tournament Chair shall be responsible for coordinating all three major tournaments. Ringer in June, Handicap in July and Championship in August. She shall inform members of the tournaments by posting information, determine and post tee times, checks all cards for accuracy and determine and post winners.
Section 7. The Tee Time Chair shall schedule weekly Tee times for the Group, except during tournaments, and shall serve on the Rules Committee.
Section 8. The Social Chair shall be responsible for arranging the place for the Orientating meeting/Spring Social, Fall Awards Social and/or other functions determined by the board. She shall post sign up sheets or notices for social functions. She shall work with the Vice President so that reservation information regarding the Orientation/Spring Social is included in the membership envelope which the Vice President sends out in January.
Section 9. The Prize Chair shall be responsible for obtaining and engraving year-end and major-tournament trophies, including any hole in one trophy. She shall obtain prizes for each event as determined by the Board of Directors.
Section 10. The Historian shall be responsible for compiling the Clubs photo album, photograph winners and seeing that publicity and club news reaches the media. She will be responsible for recording Club activities as deemed appropriate by the Board.
Section 11. The Advisor shall be the immediate Past President. She shall provide continuity and guidance to the Board.
Section 12. All officers shall be responsible for coordinating and communicating with other Board Members and committees. Officers shall attend Board Meetings, maintain a detailed file of pertinent information and shall transfer records and explain duties to successors.
ARTICLE VI Meetings
Section 1. Meetings of the 9 Hole Board, Group Committees and total membership shall be held as needed. Socials shall be held in the Spring and Fall. Socials may incorporate a business schedule when indicated.
Section 2. Special meetings may be called by the Board of Directors or 10% of the members of the Club with 10 days notice to the membership.
Section 3. The quorum for the Club shall be 10 percent of the paid members. A quorum of the Board of Directors consists of a majority (6 members) of the 11 Board members .
ARTICLE VII Board of Directors
Section 1. The Club Board of Directors shall consist of these voting members: President; Vice-President; Secretary; Treasurer; Handicap; Tee Times; Historian; Prize; Social; Tournament and Past President.
Section 2. The Board of Directors shall:
A. elect the officers of the Club from it’s membership: B. have general supervision of the affairs of the Club between meetings; C. adopt rules needed to carry on the business of the Board, provided such rules are not in conflict with the Rules of Golf, the Rules of Amateur status, these bylaws, any special rules of order or standing rules adopted by the Club D. approve plans of the Tournament Chair. E. appoint special committees as necessary.
Section 3. It shall be the duty of the Board of Directors and the Group Committees to interpret the intent of the Bylaws.
Section 4. Members who, in the opinion of the Board of Directors, do not meet the object of the club, may have their memberships terminated by a majority vote of Board of Directors, without approval from the total membership.
ARTICLE VIII Parliamentary Authority
The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the Club in all cases to which they are applicable and in which they are not inconsistent with these Bylaws and any special rules of order the Club may adopt.
ARTICLE IX Amendment of the Bylaws
These Bylaws may be amended by a two-thirds (2/3) vote of the member ship at any regular or special meeting provided the signed amendment has been posted on the bulletin board at least four weeks before the meeting.
STANDING RULES
1. Any questions about proper scoring should be called to the opponent's attention at the hole in question. If the problem cannot be resolved among the foursome playing together, the hole should be circled and the card NOT signed. On completion of play, the card in question should be given to a member of the Association Rules Committee. 2. Play days will start the on the first Thursday in April and continue through the next to last Thursday in October. Attendance at Orientation will be counted toward 30% or 50% of the scheduled play days for Tournaments. 3. A two-stroke penalty will be assessed a player for slow play, determined by the Rules Committee, if two previous warnings have been given. 4. The Club will give a trophy to all members for their first hole- in- one during the season in any Club activity on the Foothills Golf Course. Any additional hole- in- one will be noted on the same trophy. 5. A scorecard must be turned in each play day a member participates whether or not the round of golf was finished. No practice rounds permitted on play day. No alteration may be made on a score card after the competitor has turned it in to the Committee. 6. Foothills Golf Course markers for "ground under repair" or "unplayable conditions" will be observed by Club members for all tournament and play days. 7. The Club President and the Pro Shop will make the decision whether a play day or tournament will be canceled because of weather. When a hold is placed on play, regardless of whether play has started or waiting to start, members must wait as long as one hour to see if play can be resumed. Canceled tournaments will be played the next play day. 8. Play day prizes will be “money on the books” to be used in the Pro Shops at either the Meadows or Foothills. 9. If a member represents the Club at any course for a group event on a play day that member will be given credit for attendance but will not be eligible for a play day prize. 10. Club Members who do not post their scores in the GHIN system on a play day will not be eligible for prizes on that play day and the next play day.
TOURNAMENT RULES Ringer, Handicap & Championship Tournaments. 1. To be eligible for the Ringer Tournament a member must have played at least 30% of the play days and to be eligible for the Handicap & Championship Tournaments 50% of the play days that have occurred before the start of the tournaments and turned in cards for those play days. Members must have been playing within the same group for which the tournament is scheduled and must have established a handicap within the group. Handicaps posted prior to a tournament shall be the handicaps used for the duration of that tournament. Eligibility due to extenuating circumstances shall be decided by the group committee involved. 2. If you change your tee-time you may be subject to disqualification. 3. Failure to start on time is a 2 stroke penalty on the 1st hole. If a player cannot join the player’s scheduled group before that group is on the 1st green, the tardy player shall be disqualified from the tournament. 4. Use all USGA rules! CARRY YOUR RULES HANDBOOK IN YOUR GOLF BAG! 5. Look for any signs on the 1st tee-box for rule changes due to changes in course conditions. 6. Keep moving along! Slow play could result in two-stroke penalty for you. 7. Hole out no matter how many strokes it takes .Do NOT pick up after 13 strokes per hole. 8. Giving or asking for advice is not permitted. 9. Tournaments will be played by flights. Not all members in foursomes must be competitors. The Tournament Chair will determine the eligible competitors. The Tournament Chair will handle tee times for each tournament 10. Any question about scoring or rules should be resolved immediately before teeing off on the next tee-box. If it can't be resolved, circle the hole, or play a second ball and circle the hole. Seek help from a member of the Rules Committee before card is signed. 11. Tournament scores must be checked by tournament chair. If a card is found in error after being signed by both parties and turned in, appropriate action will be taken according to USGA rules. No alteration may be made on a scorecard after the competitor has handed it to the Tournament Committee. 12. In case of a tie, there will be a scorecard play-off except for the club champion. Then, in case of a tie there will be a sudden death play-off. If a player involved in a tie has left, that player is eliminated from the play-off. 13. During tournaments, Local Rule #4 cannot be used. You must hit over the ditch on #16.
SCORING FOR TOURNAMENTS: RINGER TOURNAMENT - Best score of each hole over two play days. NO HANDICAP USED.
HANDICAP TOURNAMENT - Gross score, less handicap. Total for two play days.
CHAMPIONSHIP TOURNAMENT - Combined score for two play days. Low gross awarded in each flight. Overall low gross is club champion First and second place prizes will be awarded in each flight.
ENDURANCE CONTEST RULES: (Optional) Only those who pay will be eligible for prizes. $2.00 entry fee. Each golfer’s play day counts toward this contest. Low 10 scores of rounds played apply. This is Low Net and will be played by flights. Winner in each flight will receive 60%, second place 40% in cash paid for by money received from those entering contest.
